Terms of Service

By accessing or using the website at alphabeticalit.com (the Site) or engaging any services offered by Alphabetical IT LLC (AIT, we, us, or our), you agree to be bound by these Terms of Service (Terms). If you do not agree, please do not use our Site or services. These Terms apply to all visitors, clients, prospective clients, and any other person who accesses or uses our Site or services.

Alphabetical IT LLC is a digital solutions company based in Houston, Texas, providing services including:

• Web and mobile application design and development
• Digital marketing strategy, SEO, and social media marketing
• Brand development and creative services
• AI integration and custom software solutions
• Staff augmentation and dedicated development teams
• Lead generation and omni-channel marketing campaigns

Scope, timeline, deliverables, and pricing are set out in individual Service Agreements or Statements of Work (SOW) agreed between AIT and the client.

You must be at least 18 years of age and have legal authority to enter into binding agreements on behalf of yourself or the company you represent.

When engaging our services, you agree to:

• Provide accurate, complete, and timely information, materials, and feedback required for project delivery.
• Ensure that all assets you provide, including logos, images, copy, and brand guidelines, are owned by you or that you hold the necessary rights and licences.
• Designate an authorised point of contact for project communications and approvals.
• Make payments in accordance with the agreed payment schedule.
• Not use our services for any unlawful, fraudulent, or harmful purpose.

Unless otherwise agreed in writing, all fees are due per the schedule in the applicable Service Agreement or invoice. AIT reserves the right to: suspend work where invoices are overdue by more than 14 days; charge a late payment fee of 1.5% per month on outstanding balances; and withhold final deliverables until all outstanding amounts are paid in full. All prices are in USD unless otherwise specified. Applicable taxes are the client's responsibility.

Client Materials: You retain all intellectual property rights in materials you provide to AIT. You grant AIT a limited, non-exclusive licence to use these materials solely to deliver the agreed services.

Deliverables: Upon receipt of full payment, AIT assigns to the client all intellectual property rights in custom deliverables created specifically for the client's project, as specified in the applicable Service Agreement.

AIT Proprietary Tools: AIT retains ownership of all pre-existing tools, frameworks, methodologies, and software components used in service delivery. Nothing in these Terms grants rights to AIT's proprietary intellectual property beyond what is necessary to use the deliverables.

Portfolio Rights: Unless otherwise agreed in writing, AIT reserves the right to showcase completed work in its portfolio and marketing materials.

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This obligation survives termination for three (3) years. Where a separate Non-Disclosure Agreement (NDA) has been executed, its terms shall govern.

You agree not to use the Site or services to:

• Violate any applicable local, national, or international laws or regulations.
• Transmit any material that is defamatory, obscene, infringing, or otherwise objectionable.
• Attempt to gain unauthorised access to our systems or another party's data.
• Engage in automated scraping, crawling, or data mining of our Site without prior written consent.
• Impersonate AIT or any employee, partner, or representative.

To the fullest extent permitted by law, Alphabetical IT LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Site or services. Our total aggregate liability for any claim shall not exceed the total fees paid by you to AIT in the three (3) months preceding the claim.

You agree to indemnify and hold harmless Alphabetical IT LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your violation of these Terms or your infringement of any third-party rights.

Either party may terminate a service engagement upon written notice if the other party materially breaches these Terms and fails to remedy the breach within 14 days. AIT reserves the right to suspend or terminate access to the Site or services for conduct that violates these Terms or is otherwise harmful. Fees for work completed up to the date of termination are non-refundable.

The Site and services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or harmful components.

These Terms shall be governed by the laws of the State of Texas, USA, without regard to conflict of law principles. Disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Houston, Texas, under the rules of the American Arbitration Association (AAA).

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Site or services after such changes constitutes acceptance of the revised Terms.
